- Confidentiality Agreements

A Confidentially Agreement is designed to protect confidential information, trade secrets and expertise (know-how) from being misused by those to whom such information will be or has been disclosed.

A Confidentiality Agreement Template (Non-Disclosure Agreement) should be used in any situation where you are disclosing information that must remain confidential. For example, when approaching a potential partner with your new business idea you should use a confidentiality agreement to avoid jeopardising your concept.

To protect your confidential information, trade secrets and expertise from misuse, it is prudent to have a signed Confidentiality Agreement with every person (such as employees and contractors) to whom such information will be disclosed. Parties to the agreement may be companies or individuals or a combination of both.

Select a Confidentiality/Non-Disclosure Agreement Template to continue;

Build the Confidentiality Agreement Template: General Confidentiality Agreement Template: General is suitable in most cases, if your requirements dont fit into any other Confidentiality Agreement Template then this is the most likely one for you. Commonly this template is for a situation where you may be engaging an employee, contractor or consultant.

Build the Non-Disclosure Agreement Template: You are the Discloser Non-Disclosure Agreement Template: You are the Discloser This should be used when you are disclosing information to a party for a specific purpose, it is more stringent than the Confidentiality Agreement Template: General and can indemnify the discloser if the recipient breaches the agreement.

Build the Non-Disclosure Agreement Template: You are the Recipient Non-Disclosure Agreement Template: You are the recipient This should be used when you are the party receiving information from a party for a specific purpose, it is similar to the You are the Discloser version however removes the indemnity requirement.

Build the Confidentiality Agreement Template: Mutual Confidentiality Agreement Template: Mutual Used if both parties are going to be learning confidential information about each other and would like to bind each other to confidentiality, i.e. there is no obvious Discloser or Recipient.

Build the Confidentiality Deed Template: Discloser Has IP Rights Confidentiality Deed Template: Discloser has IP Rights - Used if the Discloser is revealing information about an item which they own recognised Intellectual Property Rights to.

Build the Meeting Confidentiality Agreement Template (Non-Disclosure) Meeting Confidentiality Agreement Template (Non-Disclosure) - Restricts all parties in a meeting to not disclose any information discussed in the specific meeting only. All parties in the meeting should sign a separate copy of this agreement.

Build the Visitor's Confidential Form Template Visitors Confidentiality Undertaking Template - All visitors to your business premises should sign one of these agreements to protect any information which they may hear or see while on your premises.
