These templates are drafted for a company to sell a business. The company must intend to transfer the lease of the premises where the business is being currently conducted and sell the business as an ongoing concern.

There are three templates depending on whether the business being sold is in Distribution, Manufacture & Distribution or Services only.

These documents are drafted for a company to buy a business. The company must intend to lease the premises where the business is being currently conducted and buy the business as an ongoing concern.

- Deeds of Guarantee (Sale of Business)

There are two Deeds of Covenant and Guarantee templates. The first should be used where you are the Buyer of a business and the Seller/s will after completion have outstanding obligations under the Warranties given by the Seller/s in the Sale of Business Agreement. The second should be used where you are the Sellers of a business and the Buyer/s will after completion have outstanding obligations, in particular where there is an outstanding obligation to pay the Purchase Price by instalments or to pay some other moneys. The templates formalise the guarantees and undertakings given by each of the parties.
