This Senior Executive Employment Agreement sets out the usual range of terms encompassed in a senior executive's engagement. It includes stipulations as to confidentiality, intellectual property and confirms that the relationship is one of employer/employee and that no other relationship exists. The Senior Executive Employment Agreement includes a comprehensive restraint of trade with cascading provisions.

As well as contractual duties, an employee owes a duty of fidelity and good faith to his/her employer as well as "certain duties of confidentiality". However these duties end on cessation of employment.

An employee may compete with his/her former employer after the employment has ended unless there is a restrictive covenant/restraint of trade agreement in place prior to the employee leaving the employment.

This Senior Executive Employment Agreement includes the following provisions:

1. Definitions and Interpretation
2. Employment of the Senior Executive
3. Employee's Responsibilities
4. Duties of Employee
5. Salary & Remuneration
6. Expenses
7. Leave Entitlements
8. Confidentiality
9. Intellectual Property
10. Restraint

12. Survival of Obligations
13. Notices
14. Relationship
15. Amendment of Agreement
16. Governing Law & Jurisdiction
