This is a Confidentiality Agreement Template designed to protect confidential information, trade secrets and expertise (know-how) from being misused by those to whom such information will be or has been disclosed. This Confidentiality Agreement Template:

• provides an option for the Discloser and the Recipient to be either individuals or companies;
  
• has been drafted from the point of view of a Recipient of such information;
  
• omits an indemnity from the Recipient covering the Discloser's loss and/or damage in the event of breach of the agreement;
  
• provides that where after termination of the agreement Confidential Information which had been disclosed to the Recipient comes into the public domain, the Recipient will no longer be restrained from using such information.
