A Confidentially Agreement is designed to protect confidential information, trade secrets and expertise (know-how) from being misused by those to whom such information will be or has been disclosed.
A Confidentiality Agreement Template (Non-Disclosure Agreement) should be used in any situation where you are disclosing information that must remain confidential. For example, when approaching a potential partner with your new business idea you should use a confidentiality agreement to avoid jeopardising your concept.

Confidentiality Agreement Template: General is suitable in most cases, if your requirements don’t fit into any other Confidentiality Agreement Template then this is the most likely one for you. Commonly this template is for a situation where you may be engaging an employee, contractor or consultant.
Non-Disclosure Agreement Template: You are the Discloser – This should be used when you are disclosing information to a party for a specific purpose, it is more stringent than the Confidentiality Agreement Template: General and can indemnify the discloser if the recipient breaches the agreement.
Non-Disclosure Agreement Template: You are the recipient – This should be used when you are the party receiving information from a party for a specific purpose, it is similar to the You are the Discloser version however removes the indemnity requirement.
Confidentiality Agreement Template: Mutual – Used if both parties are going to be learning confidential information about each other and would like to bind each other to confidentiality, i.e. there is no obvious Discloser or Recipient.
Confidentiality Deed Template: Discloser has IP Rights - Used if the Discloser is revealing information about an item which they own recognised Intellectual Property Rights to.
Meeting Confidentiality Agreement Template (Non-Disclosure) - Restricts all parties in a meeting to not disclose any information discussed in the specific meeting only. All parties in the meeting should sign a separate copy of this agreement.
Visitor’s Confidentiality Undertaking Template - All visitors to your business premises should sign one of these agreements to protect any information which they may hear or see while on your premises.
